Terms and Conditions (Service Agreement)

This service agreement is made effective as of the date of signature, until Further Notice or Completion of Projects, by and between (Client) and Kristina Forsberg for OfficeHQ Limited.

In this agreement, the party who is contracting to receive services shall be referred to as “Client”, and the party who will be providing the services shall be referred to as “Consultant”.

This agreement is in place to protect the interests of the client and the consultant, ensuring a fair and productive working relationship.

The client desires to have services provided by the consultant, therefore, the parties agree as follows:



Consultant will provide services listed on www.ohq.co.nz/services.



Client will pay Consultant:

Rates and package pricing listed on http://www.ohq.co.nz/page/what-it-costs.

Client and Consultant may agree an alternative rate for tasks and projects in addition to this initial agreement, by which an agreed estimate will be required.

Payment must be made as per the terms agreed upon acceptance of a written quote by OfficeHQ

Upon termination of this agreement, no further additional charges will be incurred, however, the consultant shall still be entitled to payments for any period or partial periods that occurred prior to the date of termination and for which Consultant has not yet been paid.



In the event that the Client has an outstanding invoice greater than 30 days, the charges will incur a 10% penalty fee and services will be placed “on hold” until the Client has paid all outstanding invoices and associated penalty fees.

In the event that the Client has an outstanding invoice greater than 60 days, the consultant will hand the matter over to a reputable debt collection agency.

This process applies only when Consultant has provided and completed all of the agreed services in the agreed proposal.



Consultant shall be entitled to reimbursement from Client for the following “out of pocket” expenses, if these expenses are expressly authorised ahead of time by Client.

  • Postage
  • Printing & Artwork
  • Delivery/Shipping Fees
  • Copying
  • Project Related Toll Calls



OfficeHQ has a small team of individuals who may, at any time, assist in the provision of services.  All case sensitive information, including passwords, is kept strictly confidential within the OfficeHQ Team, who work under a company confidentiality agreement.



Notice is not required from either party to terminate the agreement, however if the Client or Consultant would like to terminate the agreement, they must send written confirmation via email, and outstanding accounts must be settled within 7 days from the receipt of invoice.



It is understood by the parties involve that the Consultant is an Independent Contractor with respect to the Client, and not an employee of the Client.  Client will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit for the consultant.  Consultant is also responsible for her own taxes and other withholdings.

Consultant plans and schedules client projects and work to mutually agreed deadlines.  However, Consultant cannot work to a client’s daily schedule or pattern, unless otherwise agreed.

General office hours are 8.30am to 5pm Monday to Friday (ALKDMT).  However Consultant will be happy to schedule a call or online meeting outside of these hours for international clients, on evenings or weekends, with prior arrangement at a mutually agreed upon time.



Consultant recognises that Client has and will have the following proprietary information:

  • Products & Services
  • Prices
  • Costs
  • Discounts
  • Future Plans
  • Client Database
  • Business affairs
  • Personal Information

Also, any other information or project work, including notes and files, which may be valuable assets of the Client, are stored on a secure server, and are accessible only by Consultant and Consultant’s Team.

Where the Client shares a DropBox folder from Client’s own DropBox account, with Consultant and Consultant’s Team, Client takes full responsibility for the security and management of the folder.



The confidentiality provisions of this agreement shall remain in full force and effect after the termination of this agreement.



Upon termination of this agreement, Consultant shall deliver all records, notes, data, memoranda, models and equipment of any nature that are in Consultant’s possession or under Consultant’s control and that are Client’s property or relate to Client’s business.  Back-up copies of Client’s files are kept for a period of two years only.  After that time, they will be deleted.



This service agreement contains the agreement of the parties involved.  There are currently no other promises or conditions in any other agreement, whether verbal or written, other than those quoted on invoices and estimates.



This agreement may be modified or amended if the amendment is made in writing and is electronically signed by both parties.



All notices required or permitted under the agreement shall be in writing and shall be deemed delivered if sent by email:
